Introduction

Welcome to Kaprazo. These Terms & Conditions ("Terms") govern your access to and use of the Kaprazo platform, including our website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you are at least 13 years old. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you are under 18, you may only use the Service with the involvement and consent of a parent or legal guardian.

Account Registration

To access certain features of the Service, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, false, or incomplete.

Subscription & Payments

Payment Processing

All payments are processed securely through Stripe. By subscribing to the Service, you authorize us to charge your payment method on file for the applicable subscription fees.

Billing Cycles

Subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

Price Changes

We reserve the right to modify subscription prices. Any price changes will be communicated to you in advance and will take effect at the start of your next billing period.

User Content

Ownership

You retain all ownership rights to the content you create, upload, or store using the Service, including tech packs, materials, designs, and other creative works ("User Content").

License to Kaprazo

By using the Service, you grant Kaprazo a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing and improving the Service. This license terminates when you delete your User Content or close your account.

Your Responsibilities

You are solely responsible for your User Content. You represent and warrant that you own or have the necessary rights to use and share your User Content, and that your User Content does not infringe on the intellectual property rights of any third party.

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit any content that is illegal, harmful, threatening, or offensive
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service for any fraudulent or deceptive purpose
  • Transmit any viruses, malware, or other harmful code
  • Harvest or collect information about other users without their consent
  • Use automated systems to access the Service without our prior written permission

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Kaprazo and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Kaprazo name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Kaprazo. You may not use such marks without our prior written permission.

Third-Party Services

The Service integrates with third-party services to provide certain functionality:

  • Stripe — for payment processing and subscription management
  • Google — for OAuth authentication services
  • Mailgun — for email delivery services

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of these third-party services.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, KAPRAZO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of any information obtained through the Service

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAPRAZO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, use, or goodwill
  • Service interruption or computer damage
  • The cost of procuring substitute services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Conduct that we determine to be harmful to other users or the Service
  • Non-payment of subscription fees
  • Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. You may export your User Content before termination. We are not obligated to retain your data after account termination.

Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Effective Date" at the top. For significant changes, we may also notify you via email. Your continued use of the Service after any modifications indicates your acceptance of the updated Terms. We encourage you to review these Terms periodically.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Kaprazo is established, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the courts of that jurisdiction.
